Terms of Service

1. Description of Service

GymCore is a commercial WordPress/WooCommerce plugin that enables martial arts gym operators to manage members, track attendance, schedule classes, process payments, and communicate with members from their own WordPress site. Features vary by subscription tier. We reserve the right to modify or discontinue features with reasonable notice.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding contract to use the Service. By using the Service, you represent that you meet these requirements. GymCore is for business use by gym operators and fitness studio owners, not for personal consumer use.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access. We are not liable for losses resulting from unauthorized account use due to your failure to protect your credentials.

4. Subscription & Billing

GymCore offers subscription plans with monthly or annual billing. By subscribing, you authorize us to charge the applicable fee to your payment method on file at the start of each subscription term.

• Billing choice: Subscriptions are billed monthly or annually in advance based on the plan selected at checkout. Your subscription renews automatically at the end of each paid term unless you cancel before the renewal date.
• Auto-Renewal: We will send a renewal reminder at least 30 days before your renewal date. Renewal charges are processed automatically using the payment method on file.
• Price Changes: We may adjust pricing for future subscription terms with at least 30 days’ advance notice. Continued use after a price change takes effect constitutes acceptance.
• Taxes: Prices are exclusive of applicable taxes. You are responsible for any sales, VAT, or similar taxes imposed by your jurisdiction.

5. Cancellation Policy

You may cancel your subscription at any time by contacting us at [email protected] or through your account settings.

• Refunds: Unless a separate written agreement says otherwise, subscriptions are non-refundable. Upon cancellation, you retain access to the Service until the end of the current paid term. We do not offer prorated refunds for unused time.
• Data After Cancellation: Following cancellation and the end of your access period, we will retain your data for 90 days to allow account recovery, then delete it per our Privacy Policy.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to store or transmit unlawful, defamatory, fraudulent, or abusive content.
• Attempt to gain unauthorized access to any part of the Service or its related systems.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to send unsolicited bulk communications (spam) to your members.
• Resell, sublicense, or otherwise make the Service available to third parties not authorized under your subscription.
• Use the Service in a way that violates applicable laws, including data protection and privacy regulations.

We reserve the right to suspend or terminate accounts that violate these policies without refund.

7. Intellectual Property

The Service and all underlying software, design, trademarks, and content are the property of GymCore and its licensors. You are granted a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription term. No rights are granted beyond what is expressly stated here.

Your gym’s data (member records, attendance logs, etc.) remains yours. You grant us a limited license to process it solely to provide and improve the Service.

8. Uptime & Support

We aim for 99.5% monthly uptime for the Service, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 24 hours in advance. Support is provided via email at [email protected] during business hours (Monday–Friday, 9am–5pm Central Time). We do not guarantee specific response time SLAs unless a written agreement states otherwise.

9. Limitation of Liability

To the fullest extent permitted by applicable law, GymCore and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data loss, or business interruption, arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

11. Indemnification

You agree to indemnify, defend, and hold harmless GymCore and its affiliates, officers, and employees from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property matters. You agree to waive any right to a jury trial or class action proceeding.

13. Modifications to These Terms

We may revise these Terms at any time. We will notify you of material changes via email or a prominent notice in the Service at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

14. Termination

We may suspend or terminate your account if you breach these Terms, fail to pay, or if we reasonably believe your use poses legal or reputational risk to us or others. Upon termination for cause, you are not entitled to a refund. You may terminate at any time per Section 5.
